ParkPal Affiliate Program Terms of Service

1. Disclaimer of Affiliation

ParkPal is an independent service and is not affiliated with, associated with, authorized by, endorsed by, or in any way officially connected with The Walt Disney Company, or any of its subsidiaries or affiliates. The official Disney website can be found at www.disney.com. The names Disney, Walt Disney World, as well as related names, marks, emblems, and images are registered trademarks of their respective owners.

2. Program Overview

The ParkPal Affiliate Program allows you to earn commissions by referring customers to ParkPal's services. You will receive a unique referral link and tracking code to promote ParkPal to your audience.

3. Eligibility

To participate in the Program, you must:

• Be at least 18 years old
• Provide accurate registration information
• Maintain an active website, blog, social media account, or other platform where you will promote ParkPal
• Comply with all applicable laws and regulations
• Not have been previously terminated from the Program for violation of these Terms

4. Commission Structure

Affiliates earn a 20% recurring commission on all paid subscriptions from referred customers. Commissions continue for the lifetime of the customer's active subscription.

Sub-Affiliate Bonus: If you refer another affiliate to the Program, you will earn an additional 10% of commissions generated by that sub-affiliate.

Commission rates are subject to change at our discretion with 30 days notice to active affiliates.

5. Tracking and Attribution

Referrals are tracked through unique affiliate links and cookies. The attribution window is 60 days from the initial click on your affiliate link. If a user clicks your link and subscribes within 60 days, you will receive commission credit.

You are responsible for ensuring your affiliate links are properly formatted and functional. We are not liable for lost commissions due to broken or improperly implemented links.

6. Payment Terms

Commissions operate on a Net-30 basis. Earned commissions become payable 30 days after the customer's successful payment to allow for refunds and chargebacks.

Payouts are processed monthly for balances of $50 or more. If your balance is below $50, it will roll over to the following month. Payouts are made via PayPal or Stripe Connect (when available).

You are responsible for any applicable taxes on your affiliate earnings. ParkPal does not withhold taxes from affiliate payments.

7. Prohibited Activities

As an affiliate, you may NOT:

• Engage in spamming, including unsolicited emails or social media messages
• Bid on ParkPal's trademarked terms in paid search campaigns
• Misrepresent your relationship with ParkPal or falsely claim endorsement
• Use your affiliate links on coupon or deal sites without prior written approval
• Self-refer or create fake accounts to generate commissions
• Use misleading, false, or deceptive advertising practices
• Promote ParkPal in violation of applicable laws, including FTC guidelines
• Use automated systems or bots to generate clicks or referrals
• Frame or redirect affiliate links to disguise the destination
• Violate the terms of service of any platform where you promote ParkPal

Violation of these prohibitions may result in immediate termination and forfeiture of unpaid commissions.

8. FTC Compliance and Disclosures

You must comply with the Federal Trade Commission's guidelines on endorsements and testimonials. You are required to clearly and conspicuously disclose your affiliate relationship when promoting ParkPal.

Acceptable disclosure examples include: "This is an affiliate link. I may earn a commission if you subscribe" or "Affiliate disclosure: I earn from qualifying purchases."

9. Intellectual Property

ParkPal grants you a limited, non-exclusive, revocable license to use our name, logo, and promotional materials solely for the purpose of promoting ParkPal through the Affiliate Program.

You may not modify our branding, logos, or materials without written permission. All rights not explicitly granted are reserved by ParkPal.

10. Refunds and Chargebacks

If a referred customer requests a refund or initiates a chargeback, any commissions earned from that customer will be reversed or deducted from your future earnings.

11. Termination

Either party may terminate this agreement at any time. We reserve the right to terminate your participation immediately for violation of these Terms.

Upon termination, you must cease all promotional activities and remove all ParkPal affiliate links. Commissions earned prior to termination and outside the Net-30 period will be paid according to our standard payment schedule.

12. Modifications to the Program

We reserve the right to modify commission rates, payment terms, or other Program terms with 30 days notice to active affiliates. Continued participation after changes constitute acceptance of the new terms.

13. Disclaimers and Limitation of Liability

THE AFFILIATE PROGRAM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE ANY SPECIFIC LEVEL OF EARNINGS OR RESULTS.

TO THE FULLEST EXTENT PERMITTED BY LAW, PARKPAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR PARTICIPATION IN THE PROGRAM.

14. Indemnification

You agree to indemnify and hold harmless ParkPal from any claims, damages, or expenses arising from your promotional activities, your violation of these Terms, or your violation of any third-party rights.

15. Arbitration

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the Federal Arbitration Act. The arbitration shall be conducted by a single arbitrator through the American Arbitration Association in a mutually agreed location. The arbitrator's award shall be final and binding.

16. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles.
